Under the Contracts Clause, a state law substantially impairing contractual obligations is invalid unless reasonable and appropriate to a significant and legitimate public purpose; public contracts receive stricter scrutiny than private contracts.

Issue. Does a state statute retroactively requiring employers to fund pension obligations of departed workers violate the Contracts Clause as applied to existing private employment contracts?
Rule. A state law substantially impairing private contracts violates the Contracts Clause unless reasonable and appropriate to a significant and legitimate public purpose.
Application (model). The statute retroactively imposes pension-funding obligations far exceeding what the existing employment contracts required, dramatically altering the financial commitments of the contracting employers. Because Contracts Clause analysis asks whether the impairment is substantial and whether it is reasonable and appropriate to a significant public purpose, the fact that the law dramatically alters the financial commitments of the existing contracts and is not narrowly tailored to a substantial public emergency means the impairment is substantial and not reasonably tailored.
